The Sites, Services, and all of their content\n (âContentâ), including all copyrights, patents, trademarks, service marks, trade names, and\n all other intellectual property rights therein (âIntellectual Propertyâ), are owned or\n controlled by AJC Network and our licensors and certain other third parties. All right, title, and interest\n in and to the Content and Intellectual Property available via the Sites is the property of AJC Network, our\n licensors, or certain other third parties, and is protected by U.S. and international copyright, trademark,\n trade dress, patent, and/or other Intellectual Property and unfair competition rights and laws to the\n fullest extent possible. AJC Network owns the copyright in the selection, compilation, assembly,\n arrangement, and enhancement of the Content on the Sites.\n\n\n B. Your Rights to Use the Sites, Services, and Content.\n\n \n (i) Your right to use the Sites, Services, and Content is subject to your strict compliance with these Terms\n and the Additional Terms. Your right to access and use the Sites and the Intellectual Property shall\n automatically terminate upon any violations. These rights are non-exclusive, limited, and revocable by us at\n any time in our sole discretion without advance notice or liability. As your right to access and use the\n Sites, Services, and the content is personal to you, you may not assign nor transfer your right; any attempt\n to do so is void. You may, for your personal, non-commercial, lawful use only (collectively, the following\n are the âAJC Network Licensed Elementsâ):\n \n\n 1. Display, view, use, and play the Content ona computer,\n mobile, or other internet-enabled or permitted device\n (âDeviceâ) and/or print one copy of the Content (excluding source and object code in raw\n form or otherwise) as it is displayed to you.\n \n\n 2. Stream the Content using any of the widgets and/or other\n digital streaming internet video players, if any, provided on the Sites.\n \n\n 3. Subject to any applicable Additional Terms, if the Sites\n include a âSend to Friendâ, social media sharing, or similar tool that allows you\n to initiate and send to one or more of your contacts a communication that includes content, or to post our\n content to third-party services or your own\n site or online service, and the tool is operational, use the tool to do so; provided, however, that you do\n not do so in any manner that violates\n applicable law or third-party rights or reflects negativity on us, and only send to recipients you have\n permission to contact.\n \n\n 4. If the Sites include a âDownloadâ link next\n to a piece of content (including, without limitation, an image, an icon, a wallpaper, a music track,\n a video, a trailer, an RSS feed), you may only download a single copy of such content to a single Device.\n \n\n 5. Download, install, and use one copy of any software,\n including apps, that we make available on or through the Sites (âSoftwareâ) on your Device\n in machine-executable object code form only and make one additional copy for back-up purposes; provided,\n however, that you understand and agree that:\n \n\n (i) By allowing you to download the\n Software, AJC Network does not transfer title to the Software to you (i.e., you own the medium on which the\n Software\n is recorded, but the Softwareâs owner (which may be AJC Network and/or its third-party Software licensor)\n will retain full and complete title to such Software).\n \n\n (ii) You may not copy, modify, adapt,\n translate into any language, distribute, or create derivative works based on the Software, except as\n expressly authorized\n in these Terms or applicable Additional Terms, without the prior written consent of AJC Network.\n \n\n (iii) You may not assign, rent, lease, or\n lend the Software to any person or entity, and any attempt by you to sublicense, transfer, or assign the\n Software will\n be void and of no effect.\n \n\n (iv) You may not decompile, disassemble,\n reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas,\n underlying user\n interface techniques, or algorithms of the Software by any means whatsoever, except to the extent the\n foregoing restriction is prohibited by applicable law.\n \n\n 6. If made available to you, obtain a registered personal\n account (and/or related username and password) on the Sites and use it to interact with the Sites.\n \n\n 7. Link to the Sites from a website or other online service, so\n long as:\n \n\n (a) The links only incorporate text, and do\n not use any AJC Network names, logos, or images.\n \n\n (b) The links and the content on your\n website do not suggest any affiliation with AJC Network or cause any other confusion.\n \n\n (c) The links and the content on your\n website do not portray AJC Network or its products or services in a false, misleading, derogatory, or\n otherwise\n offensive manner, and do not contain content that is unlawful, offensive, obscene, lewd, lascivious, filthy,\n violent, threatening, harassing, or abusive,\n or that violates any right of any third-party or are otherwise objectionable to AJC Network.\n \n\n \n AJC Network reserves the right to suspend or prohibit linking to the Sites for any reason, in its sole\n discretion, without advance notice or any liability of any kind to you or any third-party.\n \n\n 8. Use any other functionality expressly provided by AJC\n Network on or through the Sites or Services for use by users, subject to these Terms (including, without\n limitation,\n functionality to create and/or post User-Generated Content (as defined below)) and any applicable Additional\n Terms.\n \n\n\n Non-commercial use does not include the use of Content in\n connection with:\n\n Learn more at:\n Section 6,\n Section 10,\n Section 5(E),\n Section 13, and\n Section 14(F).\n \n\n\n\n C. Rights of Others. In using the Sites and Services, you must\n respect the Intellectual Property and rights of others and AJC Network. Your unauthorized use of Content may\n violate the rights of others and applicable laws and may result in your civil and criminal liability. If you\n believe that your work has been infringed via the Sites or Services, see\n Section 6 below.\n \n\n D. Reservation of all Rights Not Granted as to Content and\n Services. These Terms and any applicable Additional Terms include only narrow, limited grants\n of rights to use and access the Sites and limited Content. A narrow, limited license to use and access the\n Subscription Services is granted only to paid subscribers in good standing. No right or license may be\n construed, under any legal theory, by implication, estoppel, industry custom, or otherwise.\n ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU ARE RESERVED BY AJC NETWORK AND ITS LICENSORS AND OTHER\n THIRD PARTIES.\n Any unauthorized use of any Content or the Services for any purpose is prohibited.\n \n\n E. Third-Party Services. We are not responsible\n for third\n parties or their content, advertisement(s), apps, or sites (âThird-Party Servicesâ). For\n instance, portions of the Sites may be integrated with, or linked to, third-party sites, platforms,\n applications, or other services or materials that we do not control. Similarly, we may make ads and\n third-party content or services, which we also may not control, available to you on or via our Sites.\n\n This may include the ability to register or sign in to our Sites using Facebook Connect or other third-party\n tools, and to post content on third-party sites and services using their plug-ins made available on our\n Sites. Use caution when dealing with third parties and consult their terms of use and privacy policies. We\n take no responsibility for Third-Party Services.\n\n\n\n\n F. AP Materials. The materials accessible through the Sites may\n include associated press (âAPâ) text, photo, graphic, audio, and/or video material\n (collectively, âAP Materialâ). Your use of any such AP Material made available by AP is\n subject to APâs license terms. The following provision applies to all visitors to the Sites (including,\n without limitation, persons, representatives of legal entities, and digital engines of any kind, including,\n without limitation, ones that crawl, index, scrape, copy, store, or transmit digital content):\n\n \n By accessing the Sites, you specifically acknowledge and agree that:\n \n\n (i) General. Except\n as otherwise described in the Sites' posted Online Privacy\n Policy, or any applicable Additional Terms, you agree that:\n \n\n Upon request, you will provide documentation necessary to authenticate rights to\n such content and verify your compliance with these Terms or any applicable Additional Terms. You acknowledge\n that the Internet and mobile communications may not be secure and may be subject to breaches of security;\n accordingly, you acknowledge and agree that your UGC is submitted at your own risk.\n\n In your communications with AJC Network, please keep in mind that we do not seek\n any unsolicited ideas or materials for products or services, or suggested improvements to products or\n services, including, without limitation, ideas, concepts, inventions, or designs for music, websites, apps,\n books, scripts, screenplays, motion pictures, television shows, theatrical productions, software or\n otherwise (collectively, âUnsolicited Ideas and Materialsâ).\n\n Any Unsolicited Ideas and Materials you submit are deemed UGC and licensed to us\n as set forth below. In addition, AJC Network retains all of the rights held by members of the general public\n with regard to your Unsolicited Ideas and Materials. AJC Networkâs receipt of your Unsolicited Ideas and\n Materials is not an admission by AJC Network of their novelty, priority, or originality, and it does not\n impair AJC Networkâs right to contest existing or future Intellectual Property rights relating to your\n Unsolicited Ideas and Materials.\n\n\n\n (iii) License to AJC Network of Your UGC.\n Except as otherwise\n described in any applicable\n privacy policy or notice, you hereby grant AJC Network, the non-exclusive,\n unrestricted,\n unconditional, unlimited, worldwide, irrevocable, perpetual, and cost-free right and license to:\n \n\n You understand that in exercising such rights, metadata, notices, and content\n may be removed or altered, including\n copyright management information, and you consent thereto and represent and warrant you have all necessary\n authority\n to do so.\n \n\n In order to further effect the rights and license that you grant to AJC Network\n to your UGC, you also, as permitted\n by applicable law, hereby grant to AJC Network, and agree to grant to AJC Network, the unconditional,\n perpetual,\n irrevocable right to use and exploit your name, persona, and likeness in connection with any UGC, without\n any\n obligation or remuneration to you.\n \n\n Except as prohibited by law, you hereby waive, and you agree to waive, any moral\n rights (including attribution and\n integrity) that you may have in any UGC, even if it is altered or changed in a manner not agreeable to you.\n To the\n extent not waivable, you irrevocably agree not to exercise such rights (if any) in a manner that interferes\n with\n any exercise by AJC Network of the granted rights.\n \n\n You understand that you will not receive any fees, sums, consideration, or\n remuneration for any of the rights granted\n in this Section 2(A)(iii).\n \n\n\n\n (iv) AJC Networkâs Exclusive Right to Manage Our\n Service. AJC\n Network may, but will not have any obligation to, review, monitor, display, post, store, maintain, accept,\n or otherwise make use of any of your UGC, and AJC Network may, in its sole discretion, reject, delete, move,\n re-format, remove, or refuse to post or otherwise make use of UGC without notice or any liability to you or\n any third-party in connection with our operation of UGC venues in an appropriate manner, such as to enhance\n accessibility of UGC, address copyright infringement, and protect users from harmful UGC.\n\n Without limitation, we may, but do not commit to, address content as outlined in\n Section 2(A)(iv) that comes to our attention that we believe is offensive,\n obscene, lewd, lascivious,\n filthy, violent, harassing, threatening, abusive, illegal, or otherwise objectionable or inappropriate, or\n to enforce the rights of\n third parties or these Terms or any applicable Additional Terms.\n \n\n Such UGC submitted by you or others need not be maintained on the Sites by us\n for any period of time, and you will not have the right,\n once submitted, to access, archive, maintain, change, remove, or otherwise use such UGC on the Sites or\n elsewhere, except that California\n minors have certain rights to have certain content about them that they have themselves posted on the Sites\n prospectively removed from\n public display as provided for in the applicable\n privacy policy or notice.\n \n\n\n\n (v) Representations and Warranties Related to Your UGC. Each\n time you submit any UGC, you represent and warrant that you are at least the age of majority in the\n jurisdiction in which you reside and are the parent or legal guardian, or have all proper consents from the\n parent or legal guardian, of any minor who is depicted in or contributed to any UGC you submit, and that, as\n to that UGC:\n\n (vi) Enforcement. AJC Network has no obligation to monitor or\n enforce your Intellectual Property rights to your UGC, but you grant us the right to protect and enforce our\n rights to your UGC, including initiating actions in your name and on your behalf (at AJC Networkâs cost and\n expense, to which you hereby consent and irrevocably appoint AJC Network as your attorney-in-fact, with the\n power of substitution and delegation, which appointment is coupled with an interest).\n\n\n\n B. Forum Usage Rules. As a user of the Services, these Forum\n Usage Rules (âRulesâ) are here to help you understand the conduct that is expected of\n members of the Servicesâ online forums (âForumsâ).\n\n\n\n (i) Nature of Rules. Your participation in the Forums is\n subject to all of the Terms, including these Rules:\n\n ⢠Your UGC. All of your UGC either must be original with you or\n you must have all necessary rights in it from third parties in order to permit you to comply with these\n Terms and any applicable Additional Terms. Your UGC should not contain any visible logos, phrases, or\n trademarks that belong to third parties. Do not use any UGC that belongs to other people and pass it off as\n your own; this includes any content that you might have found elsewhere on the Internet.\n\n If anyone contributes to your UGC or has any rights to your UGC, or if anyone\n appears or is referred to in the UGC, then you must also have their permission to submit such UGC to AJC\n Network. (For example, if someone has taken a picture of you and your friend, and you submit that photo to\n AJC Network as your UGC, then you must obtain your friendâs and the photographerâs permission to do so).\n\n\n\n ⢠Speaking of Photos: No Pictures, Videos, or Images of Anyone Other\n Than You and Your Friends and Family.\n If you choose to submit photos to the Sites, link to embedded videos, or include other images of real\n people,\n then make sure they are of you or of you and someone you know â and only if you have their express\n permission to submit it.\n \n\n ⢠Act Appropriately. All of your Sites activities must be\n venue-appropriate, as determined by us.\n Be respectful of othersâ opinions and comments so we can continue to build Forums for everyone to enjoy.\n If you think your UGC might offend someone or be embarrassing to someone, then chances are it probably will,\n and it doesnât belong on the Sites. Cursing, harassing, stalking, insulting comments, personal attacks,\n gossip,\n and similar actions are prohibited. Your UGC must not threaten, abuse, or harm others, and it must not\n include\n any negative comments that are connected to race, national origin, gender, sexual orientation, religion, or\n handicap.\n Your UGC must not be defamatory, slanderous, indecent, obscene, pornographic, or sexually explicit.\n Your UGC must not exploit children under the age of 18.\n \n\n\n\n ⢠Do Not Use for Commercial or Political Purposes.\n Your UGC must not advertise or promote a product or service or other commercial activity,\n or a politician, public servant, or law.\n \n\n ⢠Do Not Use to Solicit or Send Unwanted Communications.\n Do not harvest or collect email addresses or other contact information of others from the Sites\n by electronic or other means for the purposes of sending unsolicited emails or other unsolicited\n communications.\n Do not solicit personal information from anyone or solicit passwords or personally identifying information\n for commercial or unlawful purposes. This also includes not uploading, posting, transmitting, sharing, or\n otherwise making available any unsolicited or unauthorized advertising, solicitations, promotional\n materials,\n âjunk mail,â âspam,â âchain letters,â âpyramid schemes,â or any other form of solicitation.\n \n\n ⢠Do Not Use for Inappropriate Purposes.\n Your UGC must not promote any infringing, illegal, or other similarly inappropriate activity.\n \n\n\n\n ⢠Be Honest and Do Not Misrepresent Yourself or Your UGC.\n Do not impersonate any other person, user, or company, and do not submit UGC that you believe may be false,\n fraudulent, deceptive, inaccurate, or misleading, or that misrepresents your identity or affiliation with a\n person or company.\n In the event you receive anything in consideration from us with respect to your UGC (e.g., coupons,\n sweepstakes entries, etc.),\n you represent you will include disclosure of the receipt of this consideration clearly and conspicuously as\n part of the UGC\n and include any other disclosures we may require.\n \n\n\n ⢠Others Can See. We hope that you will use the Forums to\n exchange information and content and have\n venue-appropriate discussions with other members. However, please remember that the Forums are public or\n semi-public,\n and UGC that you submit on the Sites within a Forum may be accessible and viewable by other users.\n\n Do not submit personally identifying information (e.g., first and last name together, password,\n phone number,\n address, credit card number, medical information, email address, or other personally identifiable\n information or contact\n information) on Forum spaces, and take care when otherwise disclosing this type of information to others.\n \n\n\n\n \n ⢠Donât Share Other Peopleâs Personal Information.\n Your UGC should not reveal another personâs address, phone number,\n email address, social security number, credit card number, medical\n information, financial information, or any other information that may\n be used to track, contact, or impersonate that individual, unless, and\n in the form and by the method, specifically requested by AJC Network\n (e.g., an email address to send an email invite to a friend).\n \n\n\n\n \n ⢠Donât Damage the Services or Anyoneâs Computers or Other Devices.\n Your UGC must not submit viruses, Trojan horses, spyware, or any other technologies\n or malicious code that could impact the operation of the Services or any computer or other device.\n \n\n \n If you submit UGC that AJC Network reasonably believes violates these Rules, then we may take any\n legally available action that we deem appropriate, in our sole discretion. However, we are not obligated\n to take any action not required by applicable law. We may require, at any time, proof of the permissions\n referred to above in a form acceptable to us. Failure to provide such proof may lead to, among other things,\n the UGC in question being removed from the Sites.\n \n\n\n\n \n (ii) Your Interactions with Other Users; Disputes.\n You are solely responsible for your interaction with other users of the Services,\n whether online or offline. We are not responsible or liable for the conduct or content of any user.\n We reserve the right, but have no obligation, to monitor or become involved in disputes between you and\n other users.\n Exercise common sense and your best judgment in your interactions with others\n (e.g., when you submit any personal or other information) and in all of your other online\n activities.\n \n\n\n \n C. Appropriate Content and Alerting Us of Violations.\n We expect UGC to be appropriate for a general audience, but do not undertake to monitor it, and you consent\n to\n potentially encountering content you find offensive or inappropriate. We may include venue and content rules\n as\n Additional Terms. If you discover any content that violates these Terms or any applicable Additional Terms,\n you may\n contact us by emailing\n [email protected]. For alleged infringements of Intellectual\n Property rights, see Section 6.\n \n\n \n A. Services Use Restrictions.\n You agree that you will not:\n \n\n \n (i) Use the Services for any political or commercial purpose in competition with us\n (including, without limitation, for purposes of advertising, soliciting funds, collecting\n product prices, and selling products).\n \n\n \n (ii) Use any meta tags or any other âhidden textâ utilizing any Intellectual Property.\n \n\n \n (iii) Engage in any activities through or in connection with the Services that seek to attempt to or\n do harm any individuals or entities, or are unlawful, offensive, obscene, lewd, lascivious, filthy, violent,\n threatening, harassing, or abusive, or that violate any right of any third party, or are otherwise\n objectionable to CEI.\n \n\n \n (iv) Decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any\n source code, underlying ideas, underlying user interface techniques, or algorithms of the Services by\n any means whatsoever or modify any Services source or object code or any Software or other products,\n services, or processes accessible through any portion of the Services.\n \n\n \n (v) Take any action that imposes an unreasonable or disproportionately large load on our network or\n infrastructure, or engage in any activity that interferes with a userâs access to the Services or the\n proper operation of the Services, or otherwise causes harm to the Services, CEI, or other users of the\n Services.\n \n\n \n (vi) Interfere with or circumvent any security feature (including any digital rights management\n mechanism, device, or other content protection or access control measure) of the Services or any\n feature that restricts or enforces limitations on use of or access to the Services, the Content, or the UGC.\n \n\n \n (vii) Harvest or otherwise collect or store any information (including personally identifiable\n information about other users of the Services, including email addresses) without the express consent of\n such users.\n \n\n \n (viii) Attempt to gain unauthorized access to the Services, other computer systems, or networks\n connected to the Services, through password mining or any other means.\n \n\n \n (ix) Otherwise violate these Terms or any applicable Additional Terms.\n \n\n\n B. Content Use Restrictions.\n\n \n You also agree that, in using the Services, you:\n \n\n \n (i) Will not monitor, gather, copy, or distribute the Content (except as may be a result of\n standard\n search engine activity or use of a standard browser) on the Services by using any robot, rover, âbot,â spider,\n scraper, crawler, spyware, engine, device, software, extraction tool, or any other automatic device, utility, or\n manual process of any kind.\n \n\n \n (ii) Will not frame or utilize framing techniques to enclose any such content (including any\n images,\n text, or page layout).\n \n\n \n (iii) Will keep intact all Trademark, copyright, and other Intellectual Property and other\n notices\n contained in such content.\n \n\n \n (iv) Will not use such content in a manner that suggests an unauthorized association with any\n of our\n or our licensorsâ products, services, or brands.\n \n\n \n (v) Will not make any modifications to such content (other than to the extent of your\n specifically\n permitted use of AJC Network Licensed Elements, if applicable).\n \n\n \n (vi) Will not copy, modify, reproduce, archive, sell, lease, rent, exchange, create derivative\n works\n from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast,\n retransmit, circulate, or transfer to any third party or on any third-party application or website, or otherwise\n use or exploit such content in any way for any purpose except as specifically permitted by these Terms or any\n applicable Additional Terms or with the prior written consent of an officer of AJC Network or, in the case of\n content\n from a licensor, the owner of the content.\n \n\n \n (vii) Will not insert any code or product to manipulate such content in any way that adversely\n affects any user experience or the Services.\n \n\n \n (viii) Will not use the Content for the development of any software program, including, but not\n limited to, training a machine learning or artificial intelligence (AI) system.\n \n\n C. Availability of Services and Content.\n\n \n CEI, in its sole discretion without advance notice or liability, may immediately suspend or terminate\n the availability of the Services and/or Content (and any elements and features of them), in whole or in\n part, for any reason, in AJC Networkâs sole discretion, and without advance notice or liability.\n \n\n A. Accounts.\n\n \n In order to access or use some of the features of the Services, you must first register through our online\n registration process. The Servicesâ practices governing any resulting collection, use, disclosure, and\n management\n of your personal information are disclosed in the applicable privacy policies or notices. If you are under the\n age\n of majority in your state, then you are not permitted to register as a user, create a Profile Page, or otherwise\n use the Services or submit personal information to us.\n \n\n \n If you register for any feature that requires a password and/or username, then you will select your own password\n at the time of registration (or we may provide you a randomly generated initial password), and you agree that:\n \n\n \n i. You will not use a username (or email address) that is already being used by someone else,\n may impersonate another person, belongs to another person, violates the intellectual property or other rights\n of any person or entity, or is offensive. We may reject the use of any password, username, or email address for\n any other reason in our sole discretion.\n \n\n \n ii. You will provide true, accurate, current, and complete registration information about\n yourself\n in connection with the registration process and, as permitted, maintain and update it, including on your Profile\n Page, continuously and promptly to keep it accurate, current, and complete.\n \n\n \n iii. You are solely responsible for all activities that occur under your account, password,\n and usernameâwhether or not you authorized the activity.\n \n\n \n iv. You are solely responsible for maintaining the confidentiality of your password and for\n restricting access to your device so that others may not access any password-protected portion of the Services\n using your name, username, or password.\n \n\n \n v. You will immediately notify us of any unauthorized use of your account, password, or\n username,\n or any other breach of security, but accept that we are not responsible for stopping or preventing unauthorized\n use.\n \n\n \n vi. You will not sell, transfer, or assign your account or any account rights. We will not be\n liable for any loss or damage (of any kind and under any legal theory) to you or any third party arising from\n your inability or failure for any reason to comply with any of the foregoing obligations.\n \n\n \n If any information that you provide, or if we have reasonable grounds to suspect that any information that you\n provide, is false, inaccurate, outdated, incomplete, or violates these Terms, any applicable Additional Terms,\n or any applicable law, then we may suspend or terminate your account.\n \n\n \n We also reserve the more general and broad right, as permitted by applicable law, to terminate your account\n or suspend or otherwise deny your access to it or its benefitsâall in our sole discretion, for any reason,\n and without advance notice or liability.\n \n\n B. We do not review Profile Pages\n to determine if they were created by an appropriate party, and we are not responsible for any unauthorized\n Profile Pages that may appear on the Services.\n \n\n \n If there is any dispute as to whether a Profile Page has been created or is being maintained by an\n authorized representative of the individual who is the subject of that Profile Page, then we shall have the\n sole right, but are not obligated, to resolve such dispute as we determine is appropriate in our sole\n discretion.\n \n\n \n Such resolution may include, without limitation, deleting or disabling access to Profile Pages, or any portion\n thereof, at any time without notice.\n \n\n\n\n \n C.
