Century Proxy Terms of Service

1. Binding Agreement. This is a binding agreement (“Agreement”) between Century Proxy, LLC (“Century Proxy,” “we,” “us,” “our”) and you, the person or entity using our proxy service (“Service”) for domain registrations, your agents, or anyone using the account on your behalf. By using our Service, you agree to all the terms and conditions of this Agreement (“Terms”). If you use our Service on behalf of an organization, you agree to these Terms on behalf of that organization. If you do not accept these Terms or are not of legal age to enter into this Agreement, you are not authorized to use our Service.
2. Updates. We may automatically update our Service (for example by adding or changing features), and these Terms will apply to such updates. We also reserve the right to update this Agreement from time to time to reflect new changes, policies, and restrictions as determined by us, and/or as required by ICANN or any applicable registry.
If we make material changes, we will let you know by, for example, posting a notice in your account or on our site, or by sending you an email or other communication before the changes take effect. The notice will designate a reasonable period of time after which the new Terms will take effect. If you do not agree to the new Terms, then you must stop using our Service within the designated notice period, otherwise your continued use of our Service will constitute your acceptance of any updated Terms and will be subject to the new Terms going forward. If you do not agree to any change, you must not use or access our Service.
3. Our Service. By using our Service, we will act as a registrant and/or agent for ownership and/or management and service of the domain name. Our contact information will display in the Registration Data Service (Whois) or equivalent services rather than your contact information.
Although we will show in the Registration Data Service as the registrant, you will retain full responsibility for and benefits of the domain name including:
- The right to sell, transfer, or assign the domain name, which requires cancellation of our Service for the domain name;
- The right to control the use of the domain name;
- The right to cancel the domain name;
- The right to cancel our Service associated with the domain name so that your contact information is shown in the Registration Data Service; and
- The right to renew the domain name upon its expiration, subject to applicable rules and policies.
We forward (via email) communications we receive addressed to the domain name. We will not forward « junk » mail or other unsolicited communications, and you authorize us to discard such communications. You agree to waive any and all claims arising from your failure to receive communications directed to the domain name but not forwarded to you by Century Proxy.
4. Your Contact Information and Obligations. You agree that for each domain name for which you use our Service, you will provide your name, the email address, postal address, phone and fax numbers, and ensure that the information we have is accurate and kept current. You agree to:
- Appoint Century Proxy as your designated agent so that it may act on your behalf for the purposes of administering the domain name. As your designated agent, Century Proxy is an entity that the prior registrant or new registrant explicitly authorizes to approve a Change of Registrant (as defined and described by ICANN) on its behalf;
- Provide government issued photo identification and/or government issued business identification as required for verification of identity when requested;
- Keep your account contact information complete and accurate with us at all times;
- Respond within five calendar days to any of our requests to verify your contact information;
- Respond promptly to any communications we send you regarding the domain name or communications addressed to the domain name that we forward to you, when a response is required; and
- Notify us within five (5) business days via email in the event the registration and/or use of the domain name is threatened with legal action.
5. Representations and Warranties. You represent and warrant that:
- If you use our Service on behalf of another person or entity, you are authorized to accept the Agreement on that person’s or entity’s behalf, by using our Service you’re accepting the Agreement on behalf of that person or entity, and if you, or that person or entity, violates the Agreement, you and that person or entity agree to be responsible to us;
- All information you provide to us is truthful, complete, current, and accurate;
- You are using our Service in good faith and that the application, registration, and use of the domain name not infringe upon or conflict with anyone’s legal rights (including intellectual property rights); and
- The domain name being registered by Century Proxy on your behalf will not be used in connection with any illegal activity, unlawful purposes, spam, malware; spyware, adware, or other malicious programs or code.
6. Our Right to Deny or Terminate Our Service and to Disclose Your Personal Information. You understand and agree that we, in our sole discretion and without any liability to you, have the right to deny or cancel our Service which means that your information will display in the Registration Data Service (Whois) or equivalent services, or to otherwise reveal your identity and contact information, to protect Century Proxy, our Service, our users, or the public. For example, we may do this:
- When required by law, governmental rules or requirements, governmental authorities, a court order, or legal process.
- To comply with rules, policies, or procedures of ICANN or the applicable domain name Registry.
- If you are unresponsive to a dispute.
- If we are named as a defendant in, or investigated in anticipation of, any legal or administrative proceeding arising out of the domain name or use of our Service.
- In response to a reasonable threat of litigation against us.
- To resolve any disputes with third parties arising out of your use of a domain name (as determined by us in our sole discretion).
- If you transfer the domain name away from WordPress.com.
7. Limitation of Liability. In no event will Century Proxy or its suppliers, partners, or licensors, be liable with respect to any subject matter of the Agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed $50. Century Proxy shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
8. Indemnification. You agree to indemnify and hold harmless Century Proxy, its parent companies, subsidiaries, affiliates, shareholders, agents, directors, officers, employees, contractors, licensors, and their respective directors, officers, employees, and agents from and against any and all losses, liabilities, demands, damages, costs, claims, and expenses, including attorneys’ fees, arising out of or related to your use of our Service or this Agreement, your use of the domain name registration, and/or disputes (including those under the Uniform Domain Name Dispute Resolution Policy).
9. Disclaimer. Our Service is provided “as is.” Century Proxy and its parent companies, subsidiaries, affiliates, shareholders, agents, directors, officers, employees, contractors, licensors, hereby disclaim all warranties of any kind, express or implied, to the maximum extent allowed by applicable law, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Century Proxy does not make any warranty that our Service will be error free or that access thereto will be continuous or uninterrupted. e is granted to You or conferred upon You by this Agreement or otherwise.
10. Miscellaneous. If any part of the Agreement is unlawful, void, or unenforceable, that part is severable from the Agreement, and does not affect the validity or enforceability of the rest of the Agreement. A waiver by either party of any term or condition of the Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
Automattic may assign its rights under the Agreement without condition. You may only assign your rights under the Agreement with our prior written consent.
11. Governing Law. Except to the extent applicable law, if any, provides otherwise, this Agreement, use of our Service will be governed by the laws of the state of California, U.S.A., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in San Francisco County, California.
12. Term of Agreement and Survival. The terms of this Agreement shall continue in full force and effect as long as Century Proxy is shown as the registrant for any domain name on your behalf. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers, indemnity, and limitations of liability.
You may terminate this Agreement at any time by contacting us at registrar[at]centuryproxy.net to cancel our Service and remove Century Proxy as the registrant for the domain.
