  1. SPACs must also meet the criteria prescribed under section 10.16 of the Listing Manual.
  2. In the last fiscal year or in two of the last three fiscal years.
  3. If Issuer does not have 2 years of operating history, a submission to the Exchange addressing all the factors set out in section 2.02(3) of the Listing Manual.
  4. Budget of at least $100,000 for the 12 months after listing.
Ongoing Listing Standards for Companies
Requirement
Distribution500,000 public securities; and a minimum of 150 public shareholders
Market Value of Public Float$2 million
Minimum Standard (at least 1 criteria must be met)
  1. Shareholders' equity of at least $2.5 million;
  2. Net income from continuing operations of at least $375,000;
  3. Market value of Listed Securities of at least $25 million; or
  4. Assets and revenue of at least $5 million each
Investor Relations RequirementMaintain an annual investor relations budget of at least $50,000. For a SPAC, this provision does not apply prior to the completion of a Qualifying Transaction.
